| The following sets out the
terms and conditions by which easy-dial Limited (formerly
Phonecard Services Ltd). (registered in England 3040884)
(“ED”) will provide telecommunications services
(“Services”) to you. By using the Services
of ED you agree to the following:
Amendments to Terms & Conditions
ED may vary these terms and conditions at any time
by posting such changes on its website (www.easy-dial.com).
You agree that if you decide to use the Services after
any amendments have been posted on our web site you
are bound by the terms and conditions as amended.
Changes to Rates and Charges - July 2006
Unless otherwise stated, rates listed under 10p will
be rounded to the nearest decimal place and rates listed
over 10p will be rounded to the nearest penny. (Example:
True rate = 1.949p per minute, quoted rate rounded to
1.9p per minute.) ED may vary rates and/or charges
or impose taxes or duties in relation to the Services
at any time and such changes will be posted on its website
and you agree to be bound by these changes. You may
request details of our call rates at any time. All prices
are inclusive of VAT unless otherwise stated.
Payment
All Services provided by ED are strictly on a pre-payment
basis. Failure to keep your personal account in credit
will lead to its termination without notice.
Expiry and Termination
All Services, including Phonecards and Calling Accounts,
shall automatically expire six (6) months after last
usage. If accounts are terminated before this expiry,
a refund will be granted after the deduction of an administration
fee amounting to 10% of the credit balance or £5.00
(five Pounds) whichever is the greater. No refunds are
granted in respect of Phonecards.
Liability
a) You are liable for all charges associated with the
Services, even in the event that your personal account
details have been lost or stolen or you have granted
a third party permission to use your account.
b) You undertake to hold ED harmless from all liabilities,
including damages and claims, arising out of your use
of the Services.
Equipment
You agree that ED is in no way whatsoever responsible
for providing or maintaining equipment required to access
the Services.
Provision of Service
In order to provide Services to you, ED may select
or at any time change carriers or service providers
without recourse to you. You agree to be bound by any
such changes.
You understand and accept that from time to time the
Services may be suspended for reasons including but
not limited to maintenance or faultfinding and that
ED will not be held liable for compensation for such
suspension of Services. ED undertakes to keep such incidents
to the minimum.
You also understand and accept that ED cannot guarantee
connection to occur with 100% reliability.
Warranty
You agree and understand that the Services are provided
without warranties of any kind, either express or implied,
unless such warranties are legally binding.

Fraud
In the event that ED suspects that your account may
have been used in any way whatsoever in connection with
credit card or debit card fraud, then you agree that
all personal information used in connection wih the
initial application and any subsequent transactions
may at the sole discretion of ED be released to the
appropriate authorities.
Credit Details
You agree and authorise ED to impart your credit details,
where relevant, to a credit-reporting agency to assess
your initial application or ensuing account top-ups
for credit worthiness. In the event that a debit arises
on your account you authorise ED to use any valid credit
card, switch card or debit card that has been used previously
in association with your account to recover the amount
of the debt.
The Law
This Agreement is governed by the laws of England.

The following sets out the terms and conditions by

will provide telecommunications services (“Services”)
to you. These terms apply specifically to our Carrier
Pre-Selection Service, known as easy-dial Direct. By
using the Services of easy-dial, you agree to the following:

You agree that if you decide to use the Services after
any amendments have been posted on our web sites you
are bound by the terms and conditions as amended.
Changes to Rates and Charges
easy-dial may vary rates and/or charges or impose taxes
or duties in relation to the Services at any time and
such changes will be posted on its websites and you
agree to be bound by these changes. You may request
details of our call rates at any time. All prices are
inclusive of VAT unless otherwise stated. We will bill
you in accordance with the tariffs, rules and charges
applicable at the time the service is used.
Basis of Charging and Billing
easy-dial or its agent will bill you for all Services
supplied by easy-dial to the service numbers nominated
by you. There is a minimum charge of 5p per call. Billing
is in per second or per minute increments, dependent
on tariff chosen. Call charges are rounded to the nearest
tenth of a penny, or to the nearest penny, depending
on the tariff chosen.
easy-dial or its agents will usually bill you on a
calendar monthly basis, except where you have had written
notice. Your first bill may well cover a period of less
than one month. If you have a query on your bill, you
must notify us prior to the direct debit transaction
date. We will endeavour to bill you within six months
of use of the service.
Payment
Your payment under the terms of the Direct Debit will
be collected from the nominated bank account on or after
the 20th day of the month following the billing period.
Failure of a direct debit due to cancellation or lack
of funds, will result in additional administration costs
which will be charged to you. We will notify you of
these costs. Also, your service may be interrupted as
a result of such failure. If you do not pay your bill
on time, easy-dial may charge you interest on overdue
amounts at the rate of 3% per annum above the Barclays
Bank plc base rate, calculated daily. There may also
be an administration fee, to cover our costs incurred
in processing your late payment. In the event that a
debit arises on your account you authorise ED to use
any valid credit card, switch card or debit card that
has been used previously in association with your account
to recover the amount of the debt.
easy-dial or its agents may impose a credit limit on
your account and/or require payment of a deposit or
interim payment, at its sole discretion and at any time.
The purpose of the credit limit is solely for easy-dial's
monitoring purposes and can be amended without prior
notice. easy-dial may at any time apply your deposit
to meet any cost, loss or liability incurred as a result
of failure by you to comply with these terms or to pay
any amount payable by you to easy-dial or its related
companies. easy-dial may suspend the provision of the
Services until you comply with this clause.
Credit and fraud checks
You agree and authorise easy-dial or its agents to
carry out credit and fraud prevention checks with one
or more licensed credit reference and fraud prevention
agencies. Information from your application and payment
details of your account will be recorded with these
agencies and may be shared with other organisations
to help make credit decisions about you and members
of your household and for debt collection and fraud
prevention purposes. This includes those who have moved
house and are in default. If you provide false or inaccurate
information and we suspect fraud, we will record this
and use it as appropriate.
Use of personal information
Information you provide or we hold (whether or not
under this Contract) may be used by us, our employees
and/or agents to identify you when you make telephone,
e-mail or mail enquiries, help administer any accounts,
services and products offered by the easy-dial group
now or in the future, help us to detect fraud or loss
and write to, email or telephone, you with information
about other services and products offered by us and
our carefully selected partners. We will not contact
you in this way unless you have previously consented.
We may also disclose your information to other companies
in the easy-dial group for any of the purposes set out
above. A list of such companies is available on request.
In order to tell you about discounts and offers which
may be available, we will process information about
your use of the Services, including the time you make
calls and frequently-called numbers and frequently called
destinations.
Liability
You are liable for all charges associated with the
Services, even in the event that your telephone was
used by another person with or without your permission,
from your premises, and as a result of connecting to
your telephone line, except where specific types of
calls are excluded from the service.
You undertake to hold easy-dial harmless from all liabilities,
including damages and claims, arising out of your use
of the Services.
We will not, under any circumstances be liable for
any business loss, whether direct or consequential suffered
by you, under this contract.
Equipment and line
You agree that easy-dial is in no way whatsoever responsible
for providing or maintaining equipment, required to
access the Service, nor are we responsible for any fault
on your telephone line supplied by BT or another entity.
Provision of Service
In order to provide Services to you, easy-dial may
select or at any time change carriers or service providers
without recourse to you. You agree to be bound by any
such changes.
You understand and accept that from time to time the
Services may be suspended for reasons including but
not limited to maintenance or faultfinding and that
easy-dial will not be held liable for compensation for
such suspension of Services. easy-dial undertakes to
keep such incidents to the minimum.
You also understand and accept that easy-dial cannot
guarantee connection to occur with 100% reliability.
This includes reasons beyond our control, such as acts
of God, severe weather, industrial disputes, power failure,
war, terrorism, network capacity, failure of the carrier
telecommunications system, or government action.
You undertake not to use the service in any way or
for any purpose prohibited by Law. You also undertake
not to use the service in an improper or offensive manner.
You will indemnify easy-dial against all liabilities
and costs as a result of such illegal or offensive activity.
If for any reason, we no longer provide Services, we
may obtain an alternative provider to provide the Services
to you. You agree to the assignment of easy-dial's rights
under these terms and conditions to that alternative
provider provided the level of service you currently
experience is not significantly reduced as a result.
Warranty
You agree and understand that the Services are provided
without warranties of any kind, either express or implied,
unless such warranties are legally binding.

The Law
This Agreement is governed by the laws of England.
If any part of these terms and conditions is unenforceable
(including any provision in which easy-dial excludes
its liability to you) the enforceability of any other
part of these terms and conditions will not be affected.
Any notice under this contract, may be given by us
to you by post, email or SMS messaging to any email
address, or phone number, you have given us to correspond
with you. You may give notices to us in the same way.
